Parsable Connected Worker® Platform
“Affiliate”means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity. “Control,” for purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.
“Agreement”means Master Subscription Agreement.
“Ancillary Services”means any training, on-site support, customer success program services provided by PARSABLE (and for the avoidance of doubt excludes the Support Program).
“Customer”has the meaning set forth in the Preamble. Customer’s Affiliates (for so long as they remain Affiliates) may also enter Order Forms hereunder and will be considered “Customer” for purposes of the services provided pursuant to the applicable Order Forms.
“Customer Data”means electronic data and information submitted, accessed and stored by or on behalf of Customer to the Service.
“Documentation”means the then current user guides, manuals, and instructions furnished to Customer or its Affiliates for use in conjunction with the Service, and the descriptions of Support Program(s), as updated from time to time accessible at www.parsable.com or other websites designated by PARSABLE.
“Order Form”means an ordering document or online order in the form prescribed by PARSABLE specifying details /scope /use of the Service to be provided hereunder that is entered into between Customer or its Affiliate and PARSABLE. Order Forms shall incorporate by reference the terms of this Agreement. By entering into an Order Form hereunder, an Affiliate agrees to be bound by the terms of this Agreement as if it were an original party hereto.
“PARSABLE”means PARSABLE, Inc., a Delaware corporation with its principal offices located at 2261 Market Street #4908, San Francisco, CA 94114 (USA), unless a different PARSABLE Affiliate entity is identified in an Order Form.
“Reseller”means a reseller authorized by PARSABLE to resell the Service on PARSABLE’s behalf.
“Sensitive Personal Information”means any of the following: (i) credit, debit or other payment card data subject to the Payment Card Industry Data Security Standards (“PCI DSS”); (ii) patient, medical or other protected health information regulated by the Health Insurance Portability and Accountability Act (“HIPAA”); or (iii) any other personal data of an EU citizen deemed to be in a “special category” (as identified in EU General Data Protection Regulation or any successor directive or regulation).
The“Service”means PARSABLE’s online Connected Worker® platform or portions / modules / scope / fields of use for (designated portions of) the platform thereof set forth on Order Form.
“Support Program(s)”means PARSABLE customer support for the Service, as described in the Documentation.
“User”means an individual who is authorized by Customer or its Affiliates to use the Service, for whom Customer has purchased a subscription, and to whom Customer or its Affiliates (or, when applicable, PARSABLE at Customer’s request) have supplied a user identification and/or password. Users may include employees, consultants, contractors and agents of Customer or its Affiliates, and third parties with which Customer transacts business.
